SR Brands, LLC (doing business
as Transformco, referred to as "New Sears") is
an American privately held company formed on
February 11, 2019, to acquire some of the assets
of Sears Holdings Corporation. The new company
is owned by Eddie Lampert's ESL Investments
hedge fund of Greenwich, Connecticut. Following
the Chapter 11 bankruptcy filing of Sears
Holdings on October 15, 2018, Transformco
purchased the surviving assets owned by Sears
Holdings for $5.2 billion.

Sears
Holdings Corporation ("Holdings," "we," "our,"
or the "Company") (NASDAQ: SHLD) today announced
a series of actions to position the Company to
establish a sustainable capital structure,
continue streamlining its operating model and
grow profitably for the long term. To facilitate
these actions,
the Company and certain of its
subsidiaries have filed voluntary petitions for
relief under Chapter 11 of the Bankruptcy Code
in the U.S. Bankruptcy Court for the Southern
District of New York (the "Court").
The merger of Kmart and Sears as Sears Holdings
Corporation closed on March 24, 2005, following
affirmative shareholder votes of both companies. The
company's corporate headquarters is in Hoffman
Estates, Ill. Kmart maintains a headquarters office
in Troy, Mich. Sears Holdings will operate Sears and
Kmart stores. The company continues to market
products under brands held by both companies.

Kmart,
a wholly owned subsidiary of Sears Holdings
Corporation, is a mass merchandising company that
offers customers quality products through a
portfolio of exclusive brands and labels.
As of January 31, 2009, Holdings operated a total
of 1,368 Kmart stores across 49 states, Guam, Puerto
Rico, and the U.S. Virgin Islands. This store count
consist of 1,321 discount stores, averaging 92,000
square feet, and 47 Super Centers, averaging 166,000
square feet.
Most Kmart stores are one-floor, free-standing
units that carry a wide assortment of general
merchandise, including products sold under such
well-known labels as Jaclyn Smith, Joe Boxer and
Martha Stewart Everyday, and certain proprietary
Sears brand products, such as Kenmore, Craftsman,
and DieHard brand products, and services.
As of January 31, 2009, approximately 290 Kmart

also operate in-store pharmacies. The Super Centers
generally operate 24 hours a day and combine a
full-service grocery along with the general

also 20 Sears Auto Centers operating in Kmart
stores. Sears Auto Centers offer a variety of
professional automotive repair and maintenance
services as well as a full assortment of automotive

kind of Kmart. These stores are bigger, brighter and
offer big savings, big value, big selection and big
convenience.
- Big Kmart stores are designed to increase
store sales by increasing the frequency of
customer visits. The format focuses on three
distinct businesses - home fashions, children's
apparel and consumables - and features an
expanded food area known as the "Pantry."
