Federated Board Elects Bill Hawthorne as VP/Diversity and Deputy General Counsel

CINCINNATI--(BUSINESS WIRE)--May 20, 2003--Federated Department Stores, Inc. today announced the election of William L. Hawthorne III, to the newly created position of vice president/diversity and deputy general counsel. Hawthorne, 47, who has served as divisional vice president/assistant general counsel in the company's regional law department in Atlanta since 1996, will assume his new responsibilities effective immediately.

Lundgren, Federated's president and chief executive officer. "Bill is an individual of tremendous talent with a proven ability to think both strategically and operationally, and we are confident that he will be an invaluable addition to our corporate management team."

In his new role as vice president/diversity and deputy general counsel, Hawthorne will be responsible for corporatewide diversity initiatives including employment, organizational development, work environment, minority vendor relationships, purchasing and business development. Reporting to Hawthorne in his capacity as vice president/diversity will be Ann Lazarus, operating vice president/ diversity, and Thomas J. Knott, director of minority purchasing. As deputy general counsel he will maintain responsibility for major legal practice areas. Hawthorne will maintain offices in both Atlanta and Cincinnati, and will continue to reside in Atlanta.

A native of Ohio, Hawthorne is a 1981 graduate of Morehouse College. He received his law degree from Emory University in 1984 and began his career in private practice before moving to the public sector as a trial lawyer for the City of Atlanta and the Fulton County District Attorneys Office from 1985-90. Hawthorne joined Federated in 1990 and has held positions of increasing responsibility in the company's law department since that time.
