The Company Description of Its Time

Tapestry is the first New York-based house of modern luxury lifestyle brands. The company's portfolio, as recorded here, includes Coach, Kate Spade New York and Stuart Weitzman. The filing preserves the announcement of August 10, 2023, under which Tapestry agreed to acquire Capri Holdings Limited - the group behind Versace, Jimmy Choo and Michael Kors - for $57.00 per share in cash, a total enterprise value of approximately $8.5 billion, as well as the story of the name itself: in October 2017 Coach, Inc. announced it would rename itself Tapestry, effective October 31, 2017, changing its ticker from COH to TPR to reflect its expanding portfolio.

The Capri Deal That Wasn't, and a Smaller House: 2024-2025

The Capri acquisition never closed. The Federal Trade Commission sued to block it in April 2024, arguing it would reduce competition in accessible-luxury handbags; a federal court granted a preliminary injunction on October 24, 2024, and on November 13, 2024 Tapestry and Capri mutually terminated the merger agreement. Tapestry instead committed to organic growth and a further $2 billion of share repurchases, and in fiscal 2026 reported about $8.0 billion in net sales, powered overwhelmingly by Coach.

The house also got smaller by choice: on August 4, 2025, Tapestry completed the sale of Stuart Weitzman to Caleres, the footwear group behind Sam Edelman and Allen Edmonds, for about $120 million. That leaves Tapestry as a two-brand company - Coach, founded in New York in 1941, and Kate Spade, founded in 1993 - headquartered in New York and listed on the New York Stock Exchange as TPR. The three-brand portfolio in the record above is kept in full on this profile's history page, Stuart Weitzman chapter included.
