The Company Description of Its Time

SKECHERS USA, Inc. presents itself in this filing as an award-winning global leader in lifestyle footwear: a company that designs, develops and markets more than 2,000 styles for trend-savvy men, women and children, and credits its rise to a high-quality, varied product offering, diversified domestic and international distribution, and cutting-edge print and television advertising. The brand architecture it lists is a map of 2000s footwear retail: SKECHERS Sport, SKECHERS USA, SKECHERS Active, SKECHERS Work and SKECHERS Kids under the main name, and, branded separately, the fashion and street lines Michelle K, Mark Nason, Siren by Mark Nason, 310 Motoring, and the Marc Ecko lines Unltd. and Red.

From Billion-Dollar Upstart to the World's Third-Largest Footwear Brand

The company behind the filing was founded in 1992 in Manhattan Beach, California, by Robert Greenberg, who had previously built L.A. Gear, and it went public in 1999 on the New York Stock Exchange under the symbol SKX. The 'billion dollar company' of the filing became something much larger: by 2024 Skechers reported a record $8.97 billion in annual sales, around 5,300 stores worldwide, and standing as the world's third-largest footwear brand - built, unusually, on comfort and value rather than elite sport endorsement.

In May 2025 the investment firm 3G Capital agreed to acquire Skechers for $63 per share, about $9.4 billion, and the deal closed on September 12, 2025, taking the company private and ending its 26 years on the NYSE. Robert Greenberg and his family continue to lead the business. The filing-era record kept with this profile - the 2,000 styles, the sub-brands, the SoHo Lab experiment - documents the company mid-climb, when a billion dollars still sounded like the destination.
